Terms of Service
These terms govern your use of AlloTech.AI services. Please read them carefully before engaging our services.
Effective date: April 17, 2026
1. Services
AlloTech.AI provides the following categories of services:
- AI Systems & Employees: autonomous AI agents, AI employees (sales, support, SEO, marketing, security, DevOps)
- AI Workflows & Automation: custom business pipeline design and deployment
- AI Platform Services: AI OS, AI Predictions, AI App Builder, AI Analytics, Integrations
- Cybersecurity: VAPT assessments, security audits, monitoring, Law 25 compliance reviews
- Digital Marketing & SEO: AI-driven marketing campaigns, SEO strategy, content generation
- Website Design & Development: custom web solutions
- Consulting: AI strategy, digital transformation advisory
Specific deliverables, timelines, and pricing for each engagement are defined in a Service Agreement or Statement of Work (SOW) signed by both parties.
2. Client Responsibilities
To enable successful delivery, clients must:
- Provide accurate, complete, and timely information required for service delivery
- Designate a project point of contact available for reasonable communications
- Grant necessary access to systems, platforms, or data required for the engagement
- Review and provide feedback within agreed timelines
- Not misuse our services for illegal, deceptive, or harmful activities
- Comply with all applicable laws in their use of deliverables
Delays caused by the client's failure to provide requested information may extend delivery timelines proportionally without penalty to AlloTech.AI.
3. Payments & Billing
3.1 Payment schedule
- Project fees are due as specified in the Service Agreement (typically 50% upfront, 50% on delivery)
- Retainer and subscription services are billed monthly in advance
- All invoices are due within 15 days of issue unless otherwise agreed
3.2 Late payments
- Invoices overdue by more than 15 days may incur a late fee of 1.5% per month
- AlloTech.AI reserves the right to suspend services for non-payment after written notice
3.3 Taxes
Prices are quoted exclusive of applicable taxes (GST/QST or equivalent). Taxes will be added to invoices as required by law.
3.4 Refunds
Refunds are handled on a case-by-case basis. Work completed prior to cancellation is non-refundable. Unused retainer days may be credited to future work at our discretion.
4. Scope, Revisions & Delivery
- Scope: the scope of work is defined in the Service Agreement. Any work outside the agreed scope constitutes a change request and will be quoted separately
- Revisions: the number of included revision rounds is stated in the Service Agreement (typically 2–3 rounds). Additional revisions are billed at our standard hourly rate
- Delivery: estimated timelines are good-faith estimates. AlloTech.AI is not liable for delays caused by third-party services, client delays, or force majeure events
- Acceptance: deliverables are considered accepted if no written objection is submitted within 7 business days of delivery
5. Intellectual Property
5.1 Client ownership
Upon receipt of full payment, the client receives ownership of all custom deliverables created specifically for them (code, content, designs, workflows) as agreed in the Service Agreement.
5.2 AlloTech.AI ownership
AlloTech.AI retains ownership of:
- Proprietary frameworks, templates, base components, and internal tools
- Generic AI models, prompts, and workflow patterns not custom-built for the client
- Pre-existing intellectual property incorporated into deliverables (licensed for client use)
5.3 Portfolio rights
AlloTech.AI may reference the engagement in its portfolio and marketing materials unless the client requests confidentiality in writing.
6. Confidentiality
Both parties agree to:
- Keep confidential all non-public information received from the other party
- Use confidential information only for the purpose of the engagement
- Not disclose confidential information to third parties without written consent
- Implement reasonable security measures to protect confidential information
Confidentiality obligations survive termination for a period of 3 years.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- AlloTech.AI's total liability for any claim arising from or related to our services shall not exceed the fees paid by the client in the 3 months preceding the claim
- AlloTech.AI shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of revenue, loss of data, or business interruption
- We are not liable for damages caused by client misuse of deliverables, third-party service failures, or events beyond our reasonable control
8. Warranties & Disclaimers
AlloTech.AI warrants that:
- Services will be performed with reasonable skill and care by qualified professionals
- We have the rights to deliver all work product provided
We disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability of AI systems. Cybersecurity services reduce risk but cannot guarantee complete immunity from all threats.
9. Termination
- By either party: either party may terminate with 30 days' written notice
- Immediate termination by AlloTech.AI: for non-payment, misuse, abusive conduct, or material breach of these terms
- Effect of termination: client must pay for all work completed up to the termination date. Ownership of completed deliverables transfers only upon full payment
- Survival: confidentiality, IP, payment obligations, and limitation of liability clauses survive termination

11. Governing Law
These Terms of Service are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles. Any dispute shall be resolved by the courts of competent jurisdiction in Quebec. For international clients, we agree to attempt good-faith resolution before pursuing formal proceedings.
12. Service Agreement Template
All client engagements are formalized in a Service Agreement including the following elements:
A signed Service Agreement supersedes these general Terms of Service for the specific engagement covered.
