SaaS Terms of Service

1. Scope and acceptance

These SaaS Terms of Service govern access to and use of the AlloTech.AI platform (« AlloTech », « we », « us »), available at app.allotech.ai, by any individual or business (« Customer », « you »). By creating an account, subscribing to a plan, or using our AI employees, you agree to these terms.

2. Account and access

You must provide accurate and complete information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. We may suspend or terminate any account that contains fraudulent information or is used without authorization.

3. Acceptable use

You agree to use the platform in compliance with applicable laws, including Quebec Law 25, PIPEDA, and CASL. You may not use AI employees to generate illegal, defamatory, discriminatory, deceptive, or infringing content. Any violation may result in immediate suspension.

4. AI employees, outputs and approval gates

AI employees produce suggestions, drafts, and proposed actions based on your instructions and the documents you provide. By default, actions with real-world effect (sending email, changing data, creating events, etc.) pass through an approval gate that you must confirm. Fully autonomous mode is disabled by default and can only be enabled voluntarily, per employee, and according to the permissions you grant.

AlloTech does not guarantee the accuracy, completeness, or legal adequacy of AI outputs. You remain responsible for final review before any business, legal, or regulatory decision.

5. Plans, credits and billing

Our SaaS plans (Discovery, Team, Enterprise) are billed in Canadian dollars (CAD), plus applicable taxes. Usage is measured in AI work hours or credits, depending on your plan. Payments are processed by secure third-party processors. We do not store credit card numbers on our servers.

6. 7-day refund guarantee

For self-serve plans (Discovery and Team), we offer a 7-day money-back guarantee from the date of first billing, no questions asked. Beyond that period, subscription fees are non-refundable. For Enterprise plans, no refund is available once implementation work has begun.

7. Intellectual property

You retain all rights to the data, documents, and instructions you provide. AlloTech retains rights to the platform, models, generic prompts, software components, and improvements that are not specifically created for you. You may not copy, decompile, or redistribute the platform without written permission.

8. Confidentiality and data

Our processing of your data is described in our Privacy Policy. By using the service, you consent to that processing. You agree to provide only data that you are entitled to share with us.

9. Limitation of liability

To the fullest extent permitted by law, AlloTech's total liability for any damages arising from the service shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim. AlloTech shall not be liable for any indirect, consequential, special, or punitive damages, including lost profits, lost data, or lost business opportunities.

10. Termination

You may cancel your subscription at any time from your dashboard or by contacting us. AlloTech may terminate or suspend your access immediately for non-payment, abusive use, or material breach of these terms. Upon termination, your access ends and your data is retained and then deleted in accordance with our Privacy Policy.

11. Governing law

These terms are governed by the laws of the Province of Quebec and Canada. Any dispute related to their interpretation or performance shall be submitted to the competent courts located in the Province of Quebec, unless mandatory law provides otherwise.
